Terms of Service

1. Acceptance and operator

These Terms of Service (the "Terms") are an agreement between you and PHI SOLUTIONS SRL ("PHI Solutions", "we", "us", or "our"), a Romanian company that operates Sigmance as its brand and product and operates sigmance.ai. By accessing or using the website, you agree to these Terms. If you do not agree, do not use the website.

If you use the website for an organization, you confirm that you have authority to act for that organization, and "you" includes both you and the organization where the context permits.

2. Scope of these Terms

These Terms apply only to the public website, public descriptions of Sigmance's research and technology, links to published research, and forms or email channels used to request access or begin a conversation.

These Terms do not by themselves grant access to the Sigmance platform, software, APIs, models, research systems, portfolio tools, execution systems, or managed services. They also do not create an engineering engagement, partnership, investment, subscription, advisory relationship, or capital-management mandate.

Any platform access, professional service, software license, research subscription, equity investment, or capital relationship requires separate eligibility checks and, where applicable, a proposal, order, subscription terms, offering materials, or signed agreement. A signed agreement controls over these Terms for the subject matter it covers. Purchases made through a third-party platform may also be governed by that platform's terms.

3. Eligibility and authority

You must be at least 18 years old and legally capable of entering an agreement to use the website. You may use it only where doing so is lawful. You are responsible for complying with laws and professional, regulatory, contractual, or internal restrictions that apply to you.

An access request for a restricted feature, investment discussion, or capital relationship may be subject to jurisdiction-specific eligibility, classification, diligence, and regulatory requirements and may be unavailable in some jurisdictions.

4. Website license

Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access and use the public website and its content for personal information, professional evaluation, or your organization's internal business purposes. No other rights are granted by implication.

You may link to public pages and quote brief portions with fair and accurate attribution, provided you do not suggest endorsement, partnership, regulatory approval, or affiliation that does not exist. Any broader reproduction, republication, commercialization, or distribution requires our prior written permission or another valid legal basis.

5. Access and business requests

You agree that information submitted in an access, partnership, engineering, investment, or capital inquiry is accurate to the best of your knowledge and that you are entitled to provide it. Submitting a request is an invitation to discuss; it is not an application that we are required to accept, an offer by PHI Solutions, or a promise that access or a relationship will be available.

We may ask for additional information, conduct diligence, restrict a discussion by jurisdiction or eligibility, decline a request, or stop a conversation. Neither a form submission nor an email creates an exclusivity, confidentiality, fiduciary, advisory, employment, partnership, agency, or client relationship.

6. Financial information and investment risk

Unless a separate definitive agreement expressly says otherwise, nothing on the website constitutes portfolio management, investment advice, brokerage, trade execution, a fiduciary service, legal, tax, or accounting advice, or a recommendation tailored to your objectives, financial situation, knowledge, experience, or risk tolerance.

References to investment opportunities, investing in Sigmance, allocating capital, strategies, positions, instruments, entries, sizing, targets, scenarios, or expected outcomes are illustrative or an invitation to begin a separate discussion. They are not an offer to sell, or a solicitation of an offer to buy, any security, fund interest, financial instrument, managed account, or regulated service. Any actual offer can be made only through appropriate definitive materials, by an authorized person where required, and to an eligible recipient.

Investing and trading involve risk, including loss of some or all capital. Market conditions, liquidity, leverage, model error, execution, regulation, concentration, counterparty events, and other factors can produce outcomes materially different from research or simulations. Past, backtested, simulated, hypothetical, or target performance does not predict or guarantee future results. Seek advice from appropriately licensed professionals before acting.

7. AI-assisted content and model limitations

PHI Solutions develops and operates AI-assisted research, analysis, scenarios, valuation, software, and decision-support systems through Sigmance. Public examples may be generated, summarized, ranked, or otherwise assisted by models and may be illustrative, abbreviated, or based on data from a particular point in time.

AI and quantitative outputs are probabilistic. They can be incomplete, inaccurate, stale, internally inconsistent, or affected by faulty data, assumptions, code, model behavior, or market change. Scenario probabilities are not certainties, model explanations are not proof, and no system can eliminate investment risk. Independently verify material information and apply qualified human judgment before any consequential use.

8. Acceptable use

You must not use the website to:

• violate applicable law, regulation, sanctions, or third-party rights;
• transmit malware, exploit code, unlawful material, or content that is deceptive, abusive, defamatory, infringing, or invasive of privacy;
• probe, scan, disrupt, overload, or bypass security, access, rate, or technical controls;
• use automated extraction in a manner that imposes an unreasonable load, defeats access controls, or reproduces a substantial portion of the website, except ordinary search-engine indexing;
• impersonate another person or misrepresent authorization, affiliation, endorsement, eligibility, or the origin of information;
• facilitate market manipulation, insider dealing, misuse of material non-public information, fraud, or another abusive market practice; or
• reverse engineer or circumvent protected website functionality except to the limited extent a restriction is prohibited by mandatory law.

9. Intellectual property

The website, its design, software, text, graphics, demonstrations, research presentation, models, system names, logos, and other materials are owned by or licensed to PHI Solutions and are protected by applicable intellectual-property and unfair-competition laws. "Sigmance" and related names, marks, and visual identity may not be used in a way that causes confusion or implies authorization.

Some pages may reference third-party market data, research, software, trademarks, open-source components, or other materials. Their respective owners retain their rights, and their inclusion does not imply endorsement or transfer any rights to you.

10. Your submissions and feedback

You retain ownership of information and materials you submit. You grant PHI SOLUTIONS SRL a non-exclusive license to receive, host, copy, review, and use them only as reasonably necessary to secure the site, respond to you, evaluate the relationship you requested, comply with law, and protect legal rights. Our handling of personal data is described in the Privacy Policy.

You represent that you have the rights and permissions needed to submit the material. Do not use a general website form to send trade secrets, confidential trading instructions, material non-public or inside information, credentials, special-category personal data, or content subject to restrictions that prevent us from reviewing it. A submission does not create a confidentiality obligation unless we separately agree to one in writing.

If you voluntarily provide general suggestions or feedback that is not confidential, we may use it to evaluate and improve Sigmance without a duty to compensate you. This does not give us ownership of your personal data or separately protected materials.

11. Third-party services and links

The website may link to or rely on third-party services, including Substack, LinkedIn, Cloudflare, Fontshare, and infrastructure providers. Third-party services are controlled by their providers and may change, become unavailable, or apply separate terms and privacy notices. We are not responsible for a third party's content, security, availability, or conduct merely because we link to or interoperate with it.

A subscription or payment completed on Substack or another external platform is also subject to that platform's checkout, billing, renewal, cancellation, and refund rules.

12. Availability and changes

The public website is provided without a service-level commitment. We may maintain, modify, correct, restrict, or discontinue website content or functionality. We aim to keep public information useful, but we do not promise that every page, demonstration, research item, or external link will remain available or current.

Product descriptions and roadmaps may discuss experimental, planned, or restricted capabilities. They are not a commitment to deliver a feature or service on a particular date or at all.

13. Disclaimers

To the maximum extent permitted by law, the public website and its content are provided "as is" and "as available", without warranties of accuracy, completeness, timeliness, reliability, availability, fitness for a particular purpose, non-infringement, or a particular outcome. We do not warrant that the website will be uninterrupted, secure, error-free, or free from harmful components.

Nothing in these Terms excludes a warranty, remedy, or other right that cannot lawfully be excluded. A separate signed agreement may provide specific warranties for a paid product or service.

14. Limitation of liability

To the maximum extent permitted by law, PHI Solutions and its directors, personnel, contractors, and licensors will not be liable for indirect, incidental, special, punitive, or consequential loss, or for lost profits, revenue, opportunity, anticipated savings, business, goodwill, or data, arising from or connected with the public website or reliance on its content.

These limitations do not apply to fraud, willful misconduct, gross negligence, death or personal injury, harm to bodily integrity, or any other liability that cannot be excluded or limited under applicable law. They also do not reduce mandatory consumer, data-protection, digital-service, or other statutory rights. Liability for a separately contracted paid service is governed by the applicable signed agreement.

15. Suspension and termination

You may stop using the website at any time. We may block or restrict access where reasonably necessary to protect the website or others, investigate misuse, comply with law, or respond to a material breach of these Terms. Provisions that by their nature should survive—including intellectual property, disclaimers, liability, governing law, and dispute provisions—remain effective after use ends.

16. Romanian law and disputes

These Terms and disputes arising from them or the public website are governed by the laws of Romania, without regard to conflict-of-law principles. Subject to the consumer protections below, the competent courts of Romania have jurisdiction.

If you are a consumer, this choice of law and forum does not deprive you of protections that cannot be waived under the law that would otherwise apply, or of the right to bring proceedings in a court available to you under mandatory Romanian or EU rules. Nothing in these Terms restricts a right to complain to a regulator, supervisory authority, or consumer authority with jurisdiction.

Before starting a court proceeding, we encourage you to contact us so both sides can try to resolve the issue informally. This does not limit urgent relief or a right that is subject to a legal deadline.

17. General terms and contact

We may update these Terms prospectively as the website, our practices, or applicable law changes. The current version will be posted here with its last-updated date. Material changes will receive additional notice where required by law. Changes do not retroactively alter a separate signed agreement.

If a provision is found unenforceable, it will be applied to the greatest extent permitted and the remaining provisions will continue in effect. A failure to enforce a provision is not a waiver. These Terms, together with the Privacy Policy, are the entire agreement governing the public website, without replacing any separate signed agreement.
